G.711.1 General Licensing Terms and Conditions
The G.711.1 licensors are: Electronics and Telecommunications Research Institute, France Telecom SA, Huawei Technologies Co., Ltd., Nippon Telegraph and Telephone Corporation, and VoiceAge Corporation.
LICENSE FEES
All Prices in US dollars
Initial Fee: $5000. The initial fee is for administrative purpose only and does not apply against any number of Channels.
Minimum Annual License Fees: $7,500. The minimum annual license fee is applicable on the anniversary date of the agreement and every year thereafter until the agreement expires.

- (1) Client-Only Applications are limited to two (2) channels, provided that the product is limited for use by a single user.
- (2) The Channel and Client-Only Application count resets annually.
- (3) The number of G.711.1 and G.711.1 Annex A Channels and Client-Only Applications can be aggregated to benefit from the volume discount

A Softphone Application means: i) a software applications that can handle no more than ten (10) single Channels and ii) is available through downloads from the Internet, free of change and iii) is used by Registered Individual Consumers to make calls exclusively from a Personal Computer (non-business use). If users of the Softphone Application do not need to register to use the Softphone Application, or if they are not limited to ten (10) Channels or less, then the License Fees per Channel or Client-Only Application apply.
- (5) The License Fee is applicable to the maximum number of Registrations during a Licensing Period. Please refer to example below.

(6) For the 2011 Licensing Period, the Licensee will be required to remit the Minimum Annual License Fees of $7,500

(7) Here, since the payment is based on the maximum number of Registrations, the Licensing Period of reference for the payment calculation is 2010 where Licensee has had the largest amount of Registrations since the effective date of this Agreement.

(8) For the 2012 Licensing Period, the total payment will be equivalent to the Minimum Annual Fees of $7,500
